Terms of Service

These Terms of Service (“Terms”) govern access to and use of MiProof, the identity-verification platform operated by MiKashBoks, a financial-technology company based in Freetown, Sierra Leone and licensed by the Bank of Sierra Leone. They apply to the banks, fintechs, mobile money providers, agent networks, microfinance institutions, and telecom operators that use MiProof to verify the identities of their customers and agents.

1. Acceptance of These Terms

By accessing or using the MiProof platform, websites, APIs, SDKs, or related services (together, the “Service”), you agree to these Terms. If you use the Service on behalf of an organization, you confirm that you have authority to bind that organization, and “you” refers to that organization.

Most institutions use MiProof under a separate written order form or service agreement (the “Service Agreement”). Where a signed Service Agreement exists, it governs commercial terms — pricing, verification volumes, service levels, security commitments, data processing, and data retention — and its terms prevail over these Terms to the extent of any conflict. These Terms fill in what the Service Agreement does not expressly cover.

2. Definitions

  • “Customer” (“you”) — the institution that accesses the Service to verify its customers or agents.
  • “Authorized Users” — the employees, reviewers, or agents you permit to use the Service on your behalf.
  • “End User” — a person or business whose identity is submitted to the Service for verification.
  • “Verification Data” — the documents, images, biometric (facial) data, and related inputs submitted for a check.
  • “Verification Results” — the outputs MiProof returns, including extracted fields, check outcomes, reason codes, and the supporting evidence record.
  • “Service Agreement” — the order form or written agreement between you and MiKashBoks for paid use of the Service.

3. The MiProof Service

MiProof is a hosted identity-verification platform that helps financial institutions run and document KYC and KYB checks. Depending on your configuration, the Service may include:

  • Document verification and evidence review (KYC)
  • Face match and duplicate-identity checks
  • Business and agent verification (KYB), including registry and owner or director checks
  • A compliance case and evidence workflow that keeps each decision’s record together

We may improve, update, or change features of the Service over time. We will not make changes that materially reduce core functionality during a paid term without reasonable notice, except where required for security, legal, or regulatory reasons.

4. Account Access & Authorized Users

You are responsible for setting up Authorized Users, keeping access credentials confidential, and for all activity that occurs under your account. You must apply appropriate access controls within your own organization and ensure Authorized Users use the Service only for your permitted purposes. Notify us promptly at info@mikashboks.com if you suspect any unauthorized access or compromise.

5. Acceptable Use

You may use the Service only for lawful KYC, KYB, and anti-money-laundering (AML) purposes, in line with applicable regulation and your obligations to your own regulator. You must not:

  • Use the Service to facilitate fraud, money laundering, or any illegal activity
  • Submit falsified, stolen, or unlawfully obtained documents or biometric data
  • Verify any individual or business without a lawful basis and the necessary consent
  • Reverse-engineer, decompile, copy, resell, or build a competing product from the Service
  • Probe, scan, or circumvent the security or access controls of the Service
  • Exceed your authorized verification volume or otherwise permitted use

6. Your Responsibilities & End-User Consent

You are the party responsible for the data you submit. Before sending any Verification Data to MiProof, you must:

  • Establish a lawful basis and obtain the consent required for verification, including any specific consent needed for biometric (facial) data;
  • Provide End Users with the privacy notices required by applicable law;
  • Submit only data you are entitled to submit, and take reasonable steps to keep it accurate; and
  • Provide evidence of the consents and notices above if we reasonably request it.

You remain responsible for complying with all data-protection and financial-services laws that apply to you.

7. Data Protection

For most verification activity, you act as the controller (or equivalent “responsible party”) for End-User personal data, and MiKashBoks processes that data on your documented instructions to provide the Service. Verification Data is processed and stored in line with the data-residency terms set out in the Service Agreement. Where your use is governed by a Service Agreement, the data-protection terms in that agreement (including any data-processing addendum) apply, and our handling of personal data is further described in the MiProof Privacy Notice.

We work with local regulators and registries — including the Bank of Sierra Leone (BSL), the National Civil Registration Authority (NCRA), and the National Communications Authority (NatCA) — to support compliant verification. Biometric data is handled in accordance with applicable data-protection law and used only to confirm identity and detect duplicates.

8. Verification Results & Your Decision

Verification Results are decision support — one input into your own compliance decision — and are not an instruction to approve or reject any individual or business. Your reviewers keep the final say. You are responsible for the decisions you make using the Service, and for setting the thresholds, tiers, and policies that fit your risk appetite and regulatory obligations. Results draw on the evidence submitted and on connected data sources, and while we work to make them accurate and well-documented, we do not guarantee that any individual check, or any third-party or registry record, is complete or error-free.

9. Third-Party & Registry Sources

Some checks rely on third-party and government sources, such as business registries in the markets we cover and mobile network operators for phone checks. The availability, coverage, response time, and accuracy of these sources are controlled by the relevant authority or provider, not by MiProof, and may change. Your use of results derived from a source may be subject to that source’s own terms and access requirements.

10. Fees & Payment

Fees, verification volumes, and billing terms are set out in your Service Agreement. Unless that agreement says otherwise, fees are exclusive of taxes, which you are responsible for, and invoices are payable as stated in the agreement. We may suspend the Service for overdue amounts after giving you reasonable notice, as described in “Suspension” below.

11. Service Levels & Support

Service-level targets, support scope, and maintenance arrangements are defined in your Service Agreement. We may carry out scheduled maintenance and will use reasonable efforts to limit disruption to the Service.

12. Intellectual Property

MiKashBoks and its licensors own all rights in the MiProof platform, software, models, and documentation, and in any improvements to them. Subject to these Terms and your Service Agreement, we grant you a limited, non-exclusive, non-transferable right to access and use the Service during your term. You retain all rights in your Verification Data. You grant us the rights needed to process that data to provide, secure, and support the Service, and we may use aggregated and de-identified information — which does not identify you or any End User — to operate and improve the Service. If you give us feedback or suggestions, we may use them without restriction.

13. Confidentiality

Each party may receive confidential information of the other. The receiving party will protect it with reasonable care, use it only to perform under these Terms, and disclose it only to people who need it and are bound by similar obligations. This does not apply to information that is public through no fault of the receiving party, or that must be disclosed by law — in which case the receiving party will give notice where it is legally able to.

14. Warranties & Disclaimers

Any express warranties we make are stated in your Service Agreement. To the fullest extent permitted by law, and except for those express warranties, the Service is provided “as is” and “as available,” and we disclaim all other warranties, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, timely, secure, or error-free, or that every Verification Result will be accurate. You assume responsibility for the compliance decisions you make.

15. Indemnification

You will defend and indemnify MiKashBoks against third-party claims, and related losses, arising from your use of the Service in breach of these Terms — including claims that you submitted Verification Data without a lawful basis or the necessary consent, used the Service unlawfully, or infringed the rights of an End User or other third party. Any indemnity we give you, if any, is set out in your Service Agreement.

16. Limitation of Liability

To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, or consequential losses, or for lost profits, revenue, goodwill, or data, even if advised of the possibility. We are not liable for decisions you make using Verification Results. Each party’s total liability is capped as set out in your Service Agreement; where no cap is stated, our total liability is limited to the fees you paid for the Service in the twelve months before the claim. Nothing in these Terms excludes liability that cannot be excluded under applicable law, such as for fraud.

17. Suspension

We may suspend access to the Service, in whole or in part, if we reasonably believe you or an Authorized User has materially breached these Terms, if there is suspected fraud or unlawful activity, if continued use poses a security, legal, or regulatory risk, or for overdue fees. Where practical, we will give you notice and an opportunity to resolve the issue, and we will restore access once the cause is resolved.

18. Term & Termination

These Terms apply while you use the Service. Your commercial term and any termination rights are governed by your Service Agreement. On termination, your right to use the Service ends, and each party will return or delete the other’s confidential information on request. Verification Data is handled and retained as described in your Service Agreement and the Privacy Notice. Sections that by their nature should survive — including those on acceptable-use breaches, intellectual property, confidentiality, disclaimers, indemnification, limitation of liability, and governing law — survive termination.

19. Changes to These Terms

We may update these Terms from time to time. If we make a material change, we will update the “Last updated” date above and, where appropriate, give notice. Your continued use of the Service after a change takes effect means you accept the updated Terms. Where a signed Service Agreement governs your use, changes to these Terms do not override that agreement.

20. General Provisions

You may not assign these Terms without our consent, except to a successor of your business; we may assign them to an affiliate or successor. Neither party is liable for delays or failures caused by events beyond its reasonable control. If any provision is held unenforceable, the rest remains in effect. A failure to enforce a right is not a waiver of it. These Terms, together with your Service Agreement and the Privacy Notice, are the entire agreement between us on this subject. 21. Governing Law

These Terms are governed by the laws of Sierra Leone, except where your Service Agreement specifies otherwise. The courts of Sierra Leone have jurisdiction over any dispute, without prejudice to any dispute-resolution process set out in your Service Agreement.
